A New Chapter for A+E: Hearst Takes the Helm with a Billion-Dollar Deal

The Landmark Acquisition: Disney's Exit and Hearst's Full Control

The Walt Disney Co. has officially divested its 50 percent equity stake in A+E Global Media, selling it to Hearst for a substantial sum of $1.2 billion in cash. This marks the dissolution of a partnership that began in 1984, paving the way for Hearst to assume complete ownership of the influential media organization, previously recognized as A+E Networks. This strategic acquisition encompasses a wide array of assets, including prominent cable television channels such as A&E, History, and Lifetime, alongside various content creation studios and streaming platforms. A+E's investment portfolio, which includes stakes in companies like Vice, Propagate Content, Atlas Obscura, and Philo TV, will also transfer to Hearst.

Integrating A+E into Hearst's Entertainment Portfolio

Following the closure of the agreement later this year, A+E Global Media will be integrated into Hearst's extensive entertainment group. Steven R. Swartz, president and CEO of Hearst, extended gratitude to Disney for their enduring and successful collaboration, expressing enthusiasm for supporting Paul Buccieri and the leadership team at A+E Global Media. Swartz emphasized Hearst's commitment to fostering the continued production of compelling content and driving innovation across A+E's renowned brands.

Leadership and Vision for A+E's Future Growth

Paul Buccieri, who has served as the leader of A+E since 2018, will continue in his role as president and chairman of A+E Global Media. Buccieri highlighted the organization's unique strengths in a rapidly changing media environment, specifically pointing to the robust and adaptable nature of its brands, strategic alliances, and extensive library of proprietary content. He articulated a vision for extending A+E's narrative reach globally across all platforms, leveraging intellectual property that seamlessly adapts to diverse screens and formats. Buccieri also acknowledged the invaluable guidance and support received from Hearst, The Walt Disney Company, and past and present board members.

Evolution of the A+E Partnership: A Historical Overview

A+E Global Media originated in 1984 as the Arts & Entertainment Network, initially established as a joint venture with Hearst and ABC holding stakes alongside other investors. In 1993, NBC acquired a minority share. The company expanded significantly in 2009 with the acquisition of Lifetime Networks, another joint venture between Disney and Hearst. Disney and Hearst maintained equal partnership in A+E from 2012, after purchasing NBCUniversal's minority interest. The company had initiated explorations for potential sale or merger deals approximately a year prior, engaging Wells Fargo to assist in the process, amidst a dynamic industry landscape marked by similar corporate restructuring, such as Comcast's spin-off of its cable channels and Warner Bros. Discovery's agreement to sell to Paramount Skydance.
